1. Agreement to These Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Fandoms ("Fandoms," "we," "us," or "our") governing your access to and use of the platform at fandoms.app and any related sub-domains, APIs, or applications (collectively, the "Platform").

By creating an account or otherwise using the Platform you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) to use the Platform. By using the Platform you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

If you are using the Platform on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration and Security

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Fandoms will not be liable for any loss arising from unauthorised use of your account if you fail to keep your credentials secure.

You may not share, sell, or transfer your account. You may not create an account on behalf of another person without their express authorisation. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Creator Obligations

4.1 Content Responsibility

As a creator, you are solely responsible for all content you post, upload, or make available through your creator site ("Creator Content"), including its legality, accuracy, and compliance with applicable laws. You represent and warrant that you own or have the necessary rights to all Creator Content and that it does not infringe any third-party intellectual property, privacy, or other rights.

4.2 Prohibited Content

You must not post or distribute content that:

• Is unlawful, abusive, harassing, defamatory, threatening, or fraudulent.
• Depicts or promotes sexual content involving minors (CSAM) in any form — this is an absolute prohibition and will be reported to law enforcement.
• Violates any applicable law, including laws relating to obscenity, hate speech, or terrorism.
• Infringes any copyright, trademark, patent, or other intellectual property right.
• Contains malware, viruses, or other malicious code.
• Constitutes spam or unsolicited commercial communications.
• Impersonates any person or entity or misrepresents your affiliation with any person or entity.

4.3 Age Verification and Adult Content

Creators who publish adult or explicit content are solely responsible for ensuring that all persons depicted in such content are (and were, at the time of recording or creation) 18 years of age or older. You must maintain documentation verifying the age of all performers and make it available to us upon request. Failure to comply may result in immediate termination of your account and reporting to relevant authorities.

4.4 Tax Obligations

Creators are solely responsible for determining and fulfilling their own tax reporting and payment obligations. Fandoms does not provide tax advice. We may be required to collect and report tax information (including issuing 1099-K or equivalent forms) as required by applicable law, and may share this with tax authorities.

5. Fan and Subscriber Obligations

As a fan, you agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Reproduce, redistribute, or share paid content outside the Platform without the creator's explicit permission.
• Initiate chargebacks or payment disputes in bad faith.
• Harass, threaten, or abuse creators or other users.
• Use the Platform to circumvent any access controls or paywalls.
• Scrape, crawl, or systematically extract data from the Platform without our prior written consent.

6. Payments, Fees, and Payouts

6.1 Payment Processing

All payments on the Platform are processed by Stripe, Inc. By making or receiving payments you also agree to Stripe's Terms of Service and Stripe Connect Account Agreement. Fandoms is not a bank, payment institution, or money services business.

6.2 Platform Fees

Fandoms charges 0% platform fees on creator earnings. However, standard payment processing fees charged directly by Stripe (and any applicable card network or payout fees) apply to all transactions. These fees are set by Stripe and are outside Fandoms' control. Current rates are published at stripe.com/pricing.

6.3 Payouts

Creator payouts are subject to Stripe's identity verification (KYC) and payout schedule requirements. Fandoms does not control the timing or approval of payouts; all payout decisions are made by Stripe. We reserve the right to place a hold on payouts pending investigation of suspected fraud, policy violations, or chargebacks.

6.4 Refunds and Chargebacks

All purchases on the Platform are generally final and non-refundable unless required by applicable consumer protection law. If you initiate a chargeback through your card issuer, Fandoms and/or the applicable creator reserves the right to contest the chargeback by submitting transaction evidence. Accounts that abuse chargebacks may be suspended.

6.5 Prohibited Transactions

The Platform must not be used for money laundering, tax evasion, or any other illegal financial activity. Fandoms is required to report suspicious activity to applicable authorities under anti-money-laundering (AML) laws and Stripe's platform policies. We may freeze funds or terminate accounts where illegal activity is suspected.

7. Intellectual Property

7.1 Your Content

You retain ownership of all Creator Content you upload. By posting content on the Platform, you grant Fandoms a worldwide, royalty-free, non-exclusive licence to host, display, transmit, and cache your content solely as necessary to operate and provide the Platform. This licence ends when you delete your content or account, subject to technical delays and legal retention requirements.

7.2 Fandoms' Intellectual Property

The Fandoms name, logo, wordmark, and all Platform software, designs, and features are owned by Fandoms and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our IP without prior written permission.

7.3 DMCA / Copyright Takedowns

If you believe content on the Platform infringes your copyright, please send a compliant DMCA notice to legal@fandoms.app with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement that the complaint is made in good faith; and (e) a statement under penalty of perjury that the information is accurate. We will investigate and take appropriate action, which may include removal of the content and/or termination of the infringing account.

8. Suspension and Termination

Fandoms may suspend or permanently terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or Stripe's policies. Upon termination:

• Your right to access the Platform immediately ceases.
• Any pending payouts may be withheld pending resolution of any outstanding disputes, chargebacks, or legal holds.
• Your content may be deleted; we are not obligated to return it to you.

You may terminate your account at any time by contacting us. Provisions of these Terms that by their nature should survive termination (including Sections 4, 6, 7, 9, 10, and 11) will survive.

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FANDOMS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

FANDOMS IS NOT RESPONSIBLE FOR THE CONTENT, ACCURACY, OR LEGALITY OF ANY CREATOR CONTENT, NOR FOR ANY TRANSACTIONS BETWEEN CREATORS AND FANS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FANDOMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO FANDOMS IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) US $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fandoms and its officers, directors, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your Creator Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Platform will be resolved by binding individual arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for claims relating to intellectual property or confidentiality.

Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email or an in-platform notice at least 14 days before they take effect (or immediately where required by law or to address legal obligations). Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

14. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, it will be severed and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Fandoms with respect to the Platform and supersede any prior agreements. Fandoms' failure to enforce any right or provision does not constitute a waiver of that right.
